What a Seychelles Registered Agent Is

A licensed intermediary between an IBC and the Seychelles authorities

Function

A registered agent is a Seychelles-based corporate service provider, licensed by the FSA, that incorporates the IBC, provides its registered office address in Seychelles, maintains its statutory registers, and files renewals and returns with the FSA. A foreign person or company cannot incorporate an IBC or file with the registry directly; this is done through the licensed agent.

What it is not

A registered agent is not a director, shareholder, nominee, or beneficial owner. It has no ownership of the company and no authority over its commercial decisions. The agent must be a Seychelles company holding a valid ICSP licence.

How to Verify a Registered Agent’s Licence

The FSA operates the public register of regulated entities. Verification is free.

    Go to fsaseychelles.sc and open the Regulated Entities section.

    Select Fiduciary → ICSP

    ICSP is the licence class that permits a firm to act as a registered agent for IBCs. The FSP and TSP tabs cover Foundation and Trustee service providers.

    Search the legal name

    The list shows each licensed entity’s registered name, Seychelles office address, contact details, and named responsible officer.

    Confirm an exact match

    Some groups operate multiple similarly named entities. Only the licensed entity may hold the registered agent mandate.

Is a registered agent mandatory for a Seychelles IBC?
Yes. Sections 161 and 164 of the IBC Act 2016 require every IBC to have a registered office and a registered agent in Seychelles at all times.
Can I be my own registered agent?
No. Only a Seychelles company holding a valid ICSP licence under the ICSP Act 2003 may act as a registered agent.
Does the registered agent own or control my company?
The registered agent has no ownership interest in the company and no authority to manage its business, make commercial decisions, sign commercial contracts or operate bank accounts on its behalf. The company is owned by its shareholders and managed by its directors. The registered agent performs the statutory filings, record-keeping and compliance functions required by Seychelles law for companies under its administration.
Is beneficial ownership information public?
No. The beneficial ownership register is held privately at the registered office and disclosed only to authorised Seychelles government agencies for AML purposes.
How do I verify a registered agent’s licence?
Check the FSA website (fsaseychelles.sc) under Regulated Entities → Fiduciary → ICSP and confirm the exact legal name appears on the list.
Can I change my registered agent later?
Yes. The incoming agent performs due diligence, the change is filed with the FSA, and a government fee plus the new agent’s fees apply. The company must not be left without an agent during the transfer.
